The Client shall have 7 business days from delivery to test and accept the completed work. If no feedback is received within this period, the project will be considered accepted.

Payment Terms

3.1 Payment Schedule

Unless otherwise specified in the Project Agreement, our standard payment terms are:

• 50% advance payment upon project initiation
• 30% upon completion of major milestones
• 20% upon project delivery and acceptance

3.2 Late Payments

Payments overdue by more than 7 days will incur a late fee of 1.5% per month or the maximum allowed by law. We reserve the right to pause work on overdue projects.

3.3 Taxes

All prices are exclusive of applicable GST and other taxes. The Client shall be responsible for all taxes, duties, and other governmental charges.

Intellectual Property

4.1 Client Materials

The Client warrants that any materials provided for the project (logos, text, images, etc.) are owned by the Client or properly licensed, and do not infringe any third-party rights.

4.2 Delivery of Rights

Upon full payment, we will transfer all intellectual property rights for the specifically developed work to the Client as specified in the Project Agreement.

4.3 Our Rights

We retain the right to display the completed work in our portfolio and marketing materials, unless otherwise agreed in writing.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information received from the other party. This confidentiality obligation shall survive the termination of any agreement.

However, this does not apply to information that is publicly available, independently developed, or rightfully received from a third party.

Warranties and Liability

6.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care. Any defects reported within 30 days of delivery will be rectified free of charge.

Our total liability under any agreement shall be limited to the total fees paid by the Client for the specific project. We shall not be liable for any indirect, consequential, or incidental damages.

6.3 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, war, terrorism, or government restrictions.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

9.2 Jurisdiction
